As explained in the notes accompanying the Notice of Meeting, the directors propose that the Company should adopt new Articles of Association in order to take account recent and proposed changes in company law.
Resolution 12 proposes the adoption of New Articles containing all the changes brought about by the Companies Act 2006 (the “2006 Act”) that are currently in force. In addition to the proposed new Articles, a second version shows the amendments required to the current version of the Articles:

Resolution 13 proposes a further amendment to the Articles to take into account various provisions of the 2006 Act relating to directors’ interests and conflicts of interest which do not come into force until later this year. The new Articles showing the proposed further change to Article 73 to bring this into effect are shown below:
